Intent HQ Evaluation Service Terms

Service terms for proof-of-value and trial engagements, including evaluation-specific provisions for subscription term, warranties, and liability caps.

1. Agreement

The Client's Agreement with IHQ is created upon the execution of its first Order Form and consists of these Evaluation Service Terms, Service Specific Terms, Data Protection Addendum, Order Form(s) and SOW(s).

The Services provided under an Order Form for the purposes of evaluating the suitability, proving the value or trial purposes ("Evaluation Use") of such Services.

2. Services

Client may order IHQ's Services under this Agreement by executing an Order Form which is issued by IHQ or any of its Affiliates.

6. Term

This Agreement shall run from the Effective Date of the initial Order Form and shall continue in full force until no Order Forms are in effect or this Agreement is terminated.

The Order Form shall commence on the Effective Date for Evaluation Period. Upon expiry of the Evaluation Period, the Order Form shall automatically terminate.

14. Warranties and Representations

During any Evaluation Period, the Services are provided "as-is" and without any warranties, including but not limited to merchantability, fitness for purpose, or non-infringement and no service levels or performance targets shall apply during the Evaluation Period.

16. Limitation of Liability

THE MAXIMUM AGGREGATE LIABILITY OF ONE PARTY TO THE OTHER SHALL BE LIMITED TO GREATER OF (1) GBP 1,000.00 (ONE THOUSAND POUNDS) OR, (2) THE FEES PAID OR PAYABLE BY THE CLIENT TO IHQ FOR THE EVALUATION.

19.14. Jurisdiction and Governing Law

The Parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction. This Agreement shall be governed by, and construed in accordance with, the laws of England and Wales.

20. Definitions

"Evaluation Period" means such period set out in the Order Form or if not specified, three (3) months.

"Subscription Period" means the Evaluation Period.
